Former United States Securities and Exchange Commission attorney Willie Briscoe and the securities litigation firm of Powers Taylor LLP are investigating potential claims against the Board of Directors of Atmel Corporation ("Atmel") (NasdaqGS: ATML) concerning the acquisition by Dialog Semiconductor. Under the terms of the agreement, valued at approximately $4.6 billion, Atmel shareholders will only receive $4.65 in cash and 0.112 of a Dialog American Depositary Share per Atmel share owned. The consideration is valued at approximately $10.42 per share based on the closing price of Dialog before the deal was announced, which is significantly lower than at least one analyst’s estimated value of $12.00.
